{"id":17046,"date":"2014-08-07T07:47:21","date_gmt":"2014-08-07T11:47:21","guid":{"rendered":"http:\/\/blumenthals.com\/blog\/?p=17046"},"modified":"2014-08-07T07:53:27","modified_gmt":"2014-08-07T11:53:27","slug":"yelp-being-sued-in-san-francisco-courts-for-misleading-investors","status":"publish","type":"post","link":"https:\/\/blumenthals.com\/blog\/2014\/08\/07\/yelp-being-sued-in-san-francisco-courts-for-misleading-investors\/","title":{"rendered":"Yelp Being Sued in San Francisco Courts for Misleading Investors"},"content":{"rendered":"<p>Gigaom <a href=\"http:\/\/gigaom.com\/2014\/08\/06\/yelp-lied-about-review-policies-to-inflate-stock-price-lawsuit-claims\/\">reports<\/a> that there is a new class action suit against Yelp for security law violations:<\/p>\n<p style=\"padding-left: 30px;\"><span style=\"color: #2a2e33;\">The complaint alleges\u00a0Yelp violated securities law by committing \u201cfraud on the market,\u201d and claims that executive sold stock when the\u00a0price was near a high of almost\u00a0$90 in February; the price\u00a0fell sharply shortly after this in light of the negative publicity surrounding the FTC complaints.<\/span><\/p>\n<p>This suit, rather than attacking Yelp&#8217;s practices directly are alleging that Yelp made &#8220;false and misleading statements about their true business and financial condition&#8221; in regards to the &#8220;robustness of their algorithms designed to screen reviews&#8221; and the Company&#8217;s growth prospects and the &#8220;extent to which they were reliant upon undisclosed business practices&#8221;.<\/p>\n<p>From the filing:<\/p>\n<div class=\"page\" title=\"Page 4\">\n<div class=\"section\">\n<div class=\"layoutArea\">\n<div class=\"column\">\n<p style=\"padding-left: 30px;\"><span style=\"color: rgb(0.392200%, 0.000000%, 0.000000%);\">(a) <\/span>Reviews, including anonymous reviews, appearing on the Company\u2019s website were not all authentic \u201cfirsthand\u201d reviews, but instead included fraudulent reviews by reviewers who did not have first-hand experience with the business being reviewed;<\/p>\n<p style=\"padding-left: 30px;\"><span style=\"color: rgb(0.392200%, 0.000000%, 0.000000%);\">(b) <\/span>Algorithms purportedly designed to screen unreliable reviews did not comprehensively do so, and instead, the Company allowed such unreliable reviews to remain prominent while the Company tried to sell services designed to suppress negative reviews or make them go away; and<\/p>\n<p style=\"padding-left: 30px;\"><span style=\"color: rgb(0.392200%, 0.000000%, 0.000000%);\">(c) <\/span>In light of the above facts, the representations concerning the Company\u2019s current and future financial condition and prospects, and the extent to which they were reliant upon undisclosed business practices, did not have a reasonable basis.<\/p>\n<\/div>\n<\/div>\n<\/div>\n<\/div>\n<p>It will be interesting to see if these new angles of &#8220;attack&#8221;
